 BSE revises special margin on 83 scrips

 Tata Chem clarifies on news item
 With reference to news item "Tata Chem goes in for brand recast" Tata Chemicals Ltd has informed BSE that the company is no doubt examining various possibilities internally to improving its operations and adding shareholder value. No decisions have however been taken on these issues.
The company at present has no plans to introduce second brand of salt given the nature of the product. Meanwhile the company will continue to strengthen its TATA salt brand.

 BILT denies news item
 With reference to the news item "Bilt, other Thapar group cos to divest Phoenix stakes" appearing in a financial daily Ballarpur Industries Ltd has informed BSE that the company does not hold any shares in Phoenix Pulp & Paper Public company Thailand and as such the question of divesting it's stake does not arise.

 12 TTK Healthcare equity shares for every 50 equity shares of TTK Biomed
 Consequent to the sanction of the scheme of amalgamation between TTK Biomed Ltd. and TTK HealthCare Ltd. the Board of Directors of TTK Biomed Ltd. at its Board Meeting held on 12th September 2000 has fixed the Record Date as November 1, 2000 for determining the shareholders who are entitled to the shares of the TTK Healthcare Ltd.
The shares shall be allotted in the ratio of 12 shares of TTK Healthcare Limited for every 50 shares in TTK Biomed Limited. These shares shall be eligible for divided for the financial year 2000-2001, if declared, on prorata basis from the date of allotment.

 Aarti Industries to acquire controlling stake in Alchemie Organics
 The Board of Directors of Aarti Industries Ltd. at its meeting held today (18th September, 2000) has decided to acquire controlling stake in Alchemie Organics Limited, in which the company is also one of the Promoters. Alchemie Organics Limited (AOL) is a listed company engaged in Manufacture of Agrochemicals, speciality chemicals, bulk pharmaceuticals and formulations activities.
Subject to compliance of all the applicable laws and/ or relevant SEBI Regulations, the Company would be finalising proposals to acquire the controlling stake so as to make AOL its subsidiary company, acquisitions would be made from the existing promoters and / or open offer, if considered necessary, depending upon the out come of the negotiation to be made in this regard
The Company expects to acquire the said shares at a price between Rs.10/- to Rs.16/- per share.

 HCL Info to consider preferential allotment of equity shares/ warrants
 A meeting of the Board of Directors of HCL Infosystems Ltd is convened on September 21, 2000 to consider inter alia, preferential allotment of equity shares/ warrants.

 Prism Cement Board approves increase in authorised capital
 The Board of Directors of Prism Cement Ltd at its meeting held today (September 18, 2000) has approved , subject to the approval of the shareholders at an Extra Ordinary General Meeting the following
1. Increase in Authorised Capital from Rs 3000 million to Rs 4000 million
2. Issue of equity shares at a price to be determined as per SEBI guidelines or at par whichever is higher ,by way of private placement, preferential allotment or by a combination thereof to the Indian promoters and/or their group/associate companies as may be deemed appropriate by the Board, for an aggregate amount not exceeding Rs 750 million.

 G R Cables to consider allotment of warrants
 A meeting of the Board of G R Cables Ltd. will be held on September 25, 2000 to consider interalia allotment of warrants convertible into equity shares on preferential basis.

 Shri MM Softek to allot equity shares on preferential basis
 The Board of Directors of Shri MM Softek Ltd. has decided to convene its meeting on September 22,2000 for the purpose of allotting 12,772,727 equity shares on preferential basis to the common stock holders of Transtream Inc and the balance 7,50,000 equity shares shall be allotted only on the exercise of option by the debentureholders of Transtream Inc and or its subsidiaries.
The Board would also amongst other things, decide on the change of the company's name and induction of new Directors.

 Standard Industries to consider preferential allotment of equity shares
 The Board of Directors of Standard Industries Ltd .has decided to convene an EGM on 20.10.2000 to consider increase in the authorised capital of the company and preferential allotment of equity shares of the company.

 P&G Hygeine to consider interim dividend
 The Board of Directors of Procter & Gamble Hygeine Health Care Ltd will meet on September 29, 2000 to consider among other things, consider declaration of Interim Dividend for the current fiscal 2000/2001.

 T.Rowe Price increases stake in Global Tele
 Global Tele-Systems Ltd has informed BSE that T. Rowe Price Associates Inc has acquired 5,88,000 equity shares representing 1.36% of the equity capital of the company through market purchases on September 4, 2000. After the above mentioned acquisition T. Rowe Price Associates Inc holds 8.79% of the paid up capital of the company.

 SSI acquires AlbionOrion Company, LLC
 The Board of SSI Ltd. at their meeting held on September 18, 2000, has considered and approved unanimously to approach the members of the company to authorize the Board to work out modalities and take necessary steps for the substantial acquisition of M/s. AlbionOrion Company, LLC, a company based in USA, which is engaged in high-end segments of E-business solutions, Supply chain solutions and CRM solutions. The total consideration of US$ 63.65 million will be settled by way of cash payment of US$ 20 million and the balance through stock swap.
It was unanimously resolved to issue Global Depository Shares (GDSs) to the resident and non-resident shareholders of M/s. AlbionOrion Company LLC, at a price not lower than the pricing formula determined as per SEBI Guidelines 2000 in one or more tranches, as may be deemed appropriate by the Board for an amount not exceeding US$ 43.65 million, subject to the approval of the Reserve Bank of India and other Governmental authorities if any.
