 Donelley to exit from Tata Donnelley
Tata Sons Ltd (TSL) and R.R. Donnelley and Sons Co. (RRD) have mutually agreed that RRD would sell its interest in Tata Donnelley Ltd (TDL) to the TSL and/or its affiliates, who are agreeable to purchase the shares. TSL and RRD are the co promoters of TDL each of them holding 25.37 % stake in the company. The parties propose to sign a MoU shortly in order to commence due diligence as astep towards the execution of a share purchase agreement.

 Synergy Log-in Board approves ESOP to employees and shares for working Directors
The Board of Directors of Synergy Log-in Systems Ltd at its meeting held on March 31, 2000 has approved issue of shares of the company to its employees under the ESOP. The Board also approved issue of shares to working Directors of the company under a scheme of preferential offer of shares. Both the above issues are subject to the approval of shareholders by a special resolution in the EGM to be convened.

 Morgan Industries allots 7,628,500 shares on preferential basis
At its held on March 30, 2000 the Board of Directors of Morgan Industries Ltd has allotted 76,28,500 equity shares to M/s Morgan Industries Asia Ltd. The allotted shares includes 36,28,500 fully paid equity shares of Rs 10/-each, issued at par and 40,00,000 partly paid up (Rs 2.50/- per share paid up) equity shares. Earlier on the same day the shareholders of the company at its EGM had passed the Special Resolution for allotment of equity shares on preferential basis to the promoters.

 GAIL turnover to cross Rs 84 billion.
In a press release made by the company, Gas Authority of Indian Ltd has informed that the company has ended the financial year 1999-2000with an excellent performance. During 1999-2000, GAIL achieved a turnover (including internal consumption) of Rs 84 billion as against Rs 66.48 billion in 1998-99. The gross operating margin has increased to Rs 15.20 billion against Rs 14.15 billion in the previous year. The net profit is expected to be around Rs 87 billion.

 McDowell approves investment in subsidiary company
The Board of Directors of Mc Dowell & Co Ltd has approved further investment in the balance equity capital of Vitari Distilleries Ltd (VDL). VDL is an unlisted company and is presently a subsidiary of Mc Dowell.

 Hindustan Hardy declares 20% interim dividend
The Board of Directors of Hindustan Hardy Spicer Ltd at its Board meeting held today (March 31, 2000) has declared an interim dividend of 20%(Rs 2/- per share). The Baord has fixed MAy 16, 2000 as the record date for the aforesaid interim dividend.

 Mirc Electronics declares 30% interim dividend
The Board of Directors of Mirc Electronics Ltd at its Board meeting held today (March 31, 2000) has declared a fourth interim dividend of 30%(Rs 3/- per share) for the year 1999-2000 on the equity share capital of the company. With this fourth interim dividend the cumulative dividend declared by the company for the current financial year has totalled 130%.

 United Phosphorus declares 35% interim dividend
The Board of Directors of United Phosphorus Ltd at its Board meeting held today (March 31, 2000) has declared an interim dividend of 35%(Rs 3.50 per share). The record date for the aforesaid interim dividend is May 2, 2000.

 Visaka Industries declares 15% interim dividend
The Board of Directors of Visaka Industries Ltd at its Board meeting held today (March 31, 2000) has declared an interim dividend of 15%(Rs 1.50 per share). The record date for the aforesaid interim dividend is May 16, 2000.

 English Clays declares 25% interim dividend
The Board of Directors of English Indian Clays India Ltd at its Board meeting held today on (March 31, 2000) has declared an interim dividend of 25%(Rs 2.50 per share). The record date for the aforesaid interim dividend is May 16, 2000.

 Rico Auto declares 50% interim dividend
The Board of Directors of Rico Auto Industries Ltd at its Board meeting held today on (March 31, 2000) has declared an interim dividend of 50%(Rs5/- per share) for the financial year 1999-2000.This will absorb Rs 29.7 million including Corporate Dividend Tax. The record date for the aforesaid interim dividend is May 16, 2000.

 Goetze declares 25% interim dividend
The Board of Directors of Goetze India Ltd at its Board meeting held today on (March 31, 2000) has declared an interim dividend of 25%(Rs 2.50 per share). The record date for the aforesaid interim dividend is May 16, 2000.

 Dalmia Cement declares 45% interim dividend
The Board of Directors of Dalmia Cement (Bharat) Ltd at its Board meeting held today on (March 31, 2000) has declared an interim dividend of 45%(Rs 4.50 per share) for the financial year ending March 31, 2000. The record date for the aforesaid interim dividend is May 16, 2000.

 Rossell Industries reports Rs 51.20 million net loss
Rossell Industries Ltd has announced a net loss of Rs 51.20 million for the financial year ended December 31, 1999 as against a profit of Rs 63.20 million for the previous financial year ending December 31, 1998. The net sales for FY 99 is 13 % down at Rs 652.70 million as compared to Rs750.80 million in FY 98. The other income is also down by 33 % at Rs 20.90 million (FY 98 Rs 31.10 million). The company has attributed the decline in profitability to the lower production on account of unprecedented drought in Assam in the first four months of the year and sale of Koilamari w.e.f April 1, 1999. The results are after charging extraordinary and exceptional items having an impact to the extent of Rs 172.716 million.
Unilever Overseas Holding BV (UOHBV) has entered into an agreement with the promoters of the company to acquire from them 6,580,356 fully paid shares of the company i.e 65.03 % of the total issued and paid up capital of the company at a price of Rs 173/- per share. UOHBV along with Hindustan Lever as person acting in concert have made an offer at Rs 173/- per share to acquire the balance 34.97% of the total paid up capital of the company.

 Acknit Knitting declares 15% interim dividend
The Board of Directors of Acknit Knitting Ltd at its Board meeting held today on (March 31, 2000) has declared an interim dividend of 15%(Rs 1.50 per share) for the financial year ending 1999-2000.

 Daikaffil Chemicals to consider preferential issue
A meeting of the Board of Directors of Daikaffil Chemicals Ltd will be held on April 5, 2000 where the Board among other matters will consider issue of shares on preferential basis.

 Tata Tea interim at Rs 10.10 per share

 Savita Chemicals commissions Wind Energy plant at Gojegaon, Satara
Savita Chemicals Ltd (SCL) has commissioned on March 30, 2000 the 2.25 MW Wind Energy project at Gojegaon, Satara, Maharashtra. The said project is set up with the help of three 750 NEG MICON type NM 750/40 wind energy generators. The said generators are supplied by Asian Wind Turbines (Pvt) Ltd of Chennai. SCL already has another wind farm at Venkhusavde, Satara, Maharashtra.

 Chandras sell 950,000 shares in Superior Air to Inox Air Products
Superior Air Products Ltd has informed the BSE that the promoters of the company (the Chandra family) have executed an agreement with Inox Air Products Ltd (IAPL) and sold 950, 000 shares of the company held by them at the rate of Rs 81.20 per share. The agreement was executed on March 30, 2000. The present issued, subscribed and paid up share capital of the company is 7,090,372 equity shares of Rs 10/- each.
Earlier on March 9, 2000 IAPL had signed an agreement with Mauritius Industrial Gases Inc. Mauritius (MIG) to purchase 3,614,500 equity shares held by them in IAPL. This agreement will come into effect on acquisition of shares of the Chandra family.
However IAPL acquiring 950,000 shares of the Chandra family is unconditional.
Superior Air products Ltd has informed that IAPL will make an open offer for acquiring from the public the shares of Superior Air Products Ltd at the same price Rs 81.20 per share in accordance with the rules laid down by the SEBI.

 DSQ Software submits clarification on newspaper reports
In a correspondence to the BSE, DSQ Software Ltd has submitted its clarification to the BSE. In the correspondence the Director of the company Mr K M Venkateswaran said "The company has no information on the subject and Notice/offer, if any, should be given by Bank of America. Hence we are unable to comment on this news". The said clarification was given by the company in response to a letter send to the company, by the BSE regarding a news item appearing in the Financial Express on March 30, 2000.

 Forbes Gokak declares 100 % interim dividend
At its meeting held on March 30, 2000, the Board of Directors of Forbes Gokak Ltd has declared an interim dividend of 100% (Rs 10/- per share of Rs 10/- each) for the year ending March 31, 2000. The dividend of 100 % includes a special dividend of 70 %. The dividend will absorb a sum of RS 124.60 million. For the previous year ending March 31, 1999 dividend was paid at the rate of 15 % which was paid during August, 1999. The said interim dividend will be paid to the shareholders whose names appear on the register of members as on the record date which has been fixed at May 11, 2000.

 HPCL declares 80 % interim dividend
The Board of Directors of Hindustan Petroleum Corporation Ltd at its meeting held on March 30, 2000 has approved the payment of interim dividend at the rate of 80 % (Rs 8/- per share) for the financial year 1999-2000.

 HFCL to consider preferential issue
The Board of Directors of Himachal Futuristic Communications Ltd will meet on April 4, 2000 to consider the allotment of shares on private placement basis to various investors. At the meeting the Board will also consider payment of interim dividend on equity shares.

 J B Chemicals plans merger of pharma division of Unique with itself
The Board meeting of J B Chemicals & Pharmaceuticals Ltd (JBCPL) is scheduled on April 3, 2000. At the meeting the shall consider and if thought fit will approve the proposal to amalgamate the pharma divisions of Unique Pharmaceutical Laboratories Ltd and Ifiunik Pharmaceuticals Ltd into JBCPL by way of de-merger.
